1. Program description, process for making of Referral
Applications
As a Solarsoft client, you are invited to refer other businesses
which you consider may benefit from a Solarsoft solution (a
"Referral Application"). If any such Referral Application is
approved by Solarsoft, it will qualify for a reward of commission
in the event that Solarsoft wins the business. For any such
Referral Application to qualify for a reward from Solarsoft, it
must be registered solely via the Solarsoft website at
www.solarsoft.com/campaigns/solarsoft-referral-programme. Your
making of a Referral Application via the website serves to indicate
your acceptance of the terms and conditions of the referral program
(the "Program"). Solarsoft may decline to accept the Referral
Application for any or no reason at its sole discretion. Approval
or rejection of any Referral Application will be sent to the email
address that you have provided in the Referral Application.
Solarsoft will aim to either accept or reject the Referral
Application within 7 (seven) days of its receipt via the
website.
2. Scope of program, confidentiality of information
Once a Referral Application has been approved by Solarsoft, you
agree not to refer the details of the Referral Application to any
organisation that might reasonably be expected to compete with
Solarsoft for the business opportunity that is the subject of the
Referral Application. The Program is aimed at generating genuine
new business leads for Solarsoft. Accordingly, it does not apply to
potential business opportunities within existing Solarsoft clients
in any Solarsoft operating division, nor any business opportunities
already registered in Solarsoft's CRM systems. It also excludes
referral of organisations that are subsidiaries, divisions,
affiliates, acquirees or acquirers of the referring organisation,
or are wholly or partly owned by the same ultimate owner as the
referring organisation.
3. Referral Application processing, period of validity
- By making a Referral Application, you undertake to identify and
describe each potential customer and the relevant commercial
conditions and background details relating to the business
opportunity that is the subject of the Referral Application, and to
do so on the referral portal on Solarsoft's corporate website.
- At Solarsoft's request, you agree to;
- i. supply any additional information reasonably requested by
Solarsoft,
- ii. discuss each Referral Application with Solarsoft personnel
in a reasonable level of detail, and
- iii. assist Solarsoft in making contact with the referred
organisation by arranging an introduction, meeting, conference call
or other practical means of communication.
- A Referral Application, once approved by Solarsoft, remains
valid for a period of 12 (twelve) months from the date of approval.
After this period, the Referral Application will only remain valid
should Solarsoft extend its validity in writing, any such extension
to be provided at the sole discretion of Solarsoft.
4. Commission
- Should Solarsoft secure the business described in an approved
Referral Application, Solarsoft will pay commissions equal to ten
percent (10%) of license and professional services revenue (net of
sales taxes) contained in the initial order received by Solarsoft.
Commission will only be paid on the initial order, and to a maximum
value of £10,000 (in the case of Referral Applications made by and
relating to organisations domiciled in the United Kingdom), or
$10,000 (in the case of Referral Applications made by or relating
to organisations domiciled outside the United Kingdom). Support and
maintenance fees do not attract commissions under the Program and
are explicitly excluded.
- Commission will be paid by way of a credit note which may be
offset against any future purchases made from Solarsoft by the
referring organisation. In the case of Referral Applications made
by and relating to organisations domiciled in the United Kingdom,
commissions may be also be paid by way of an electronic payment to
the referring organisation or to a nominated and officially
registered charity.
- Payment of commissions will become due once the organisation
that is the subject of the Referral Application has paid invoices
relevant to the initial order in full.
5. Term and Termination
a) These terms and conditions apply to any Referral Application
made under the Program. The terms become effective on the date that
a Referral Application is made, and continue in effect for a period
of 12 (twelve) months in respect of each Referral Application,
unless extended at Solarsoft's discretion.
b) Both the individual referrer and the referring organisation
accept all responsibility for adhering to their own company's
policies and conduct in relation to receiving commissions from
organisations with which they do business, and warrant that they
will advise Solarsoft in good time of any commission payment
becoming due under an approved Referral Application in the event
that any of their processes forbid such payments so that Solarsoft
may avoid inadvertently breaching any such processes.
